Terms of Service

For renewvane.com and the Renewvane service. Questions: hello@renewvane.com.

Effective date: October 26, 2026
Version: 1.0

These Terms of Service ("Terms") are an agreement between Juelia Kinney, an individual operating as a sole proprietor in Carlsbad, California, USA ("Renewvane", "we", "us", "our"), and the business that uses our website or service ("Customer", "you", "your").

Plain summary of the plan (the full terms are in Section 7): after a free 30 day trial, the Renewvane plan costs $49 per month plus any applicable sales tax, charged automatically every month to the card you give Stripe, and it renews automatically every month until you cancel. You can cancel online at any time in the app with "Cancel plan". If you cancel during the free trial, you are not charged.

1. Who these Terms are for

1.1 Renewvane is a service for businesses. You may use it only for business purposes, not for personal, family or household purposes. You must be at least 18 years old.

1.2 If you accept these Terms for a company or other organization, you confirm that you have authority to bind it, and "you" means that organization.

1.3 You accept these Terms by ticking the box that refers to them when you create an account, connect a Stripe account, start a trial or plan, or turn on recovery, or by otherwise using the service. If you do not agree, do not use the service.

2. What the service does

2.1 The free Leak Check. Our website offers a free Leak Check. You type totals you read in your own Stripe Dashboard and the math runs in your browser. We do not receive or store those numbers and get no access to your Stripe account. The result is a rough estimate for information only. It is not financial, accounting, tax or legal advice and does not make you eligible for a trial.

2.2 The connected service. If you choose to connect your Stripe account, the service:

  1. connects to your Stripe account with a restricted API key you create and enter on our connect page;
  2. prepares a free leak audit of the last 90 days (totals only);
  3. tells you, from that audit, whether we expect the plan to pay for itself for you (Section 7.2);
  4. if you start a trial or plan and turn on recovery, sends short payment reminder emails to your subscribers whose payments fail, each with a link (a "Tracked Link") to a Stripe hosted page where the subscriber can update a card or confirm a payment;
  5. leaves a random share of failed payments without any email from us, as a holdout group (Section 6); and
  6. gives you a monthly Proof Report comparing recovery in the emailed group with the holdout group (Section 8).

2.3 We never touch your money. We do not hold, move or receive your subscribers' payments. Subscribers pay you directly through Stripe. We never see full card numbers.

2.4 Renewvane is not affiliated with or endorsed by Stripe. Stripe is a trademark of Stripe, Inc.

3. Your account

3.1 You sign in with a one time link we email to you. You must give a business email address that you control, keep access to it secure, and tell us promptly at hello@renewvane.com if you think someone has used your account without permission. You are responsible for activity under your account.

3.2 You agree that we may send you service messages by email, including sign in links, trial and billing notices, reports and notices about these Terms. These messages are part of the service. Electronic notices and records satisfy any requirement that they be in writing.

4. Stripe access

4.1 Your authorization. Before you connect, the app shows an authorization screen that lists exactly what we read, what we store, what we send and how to revoke access. By connecting, you authorize us to use the key only as described on that screen, in these Terms and in our Privacy Policy and Data Processing Addendum.

4.2 Restricted keys only. We accept only Stripe restricted keys (they start with rk_live_ or rk_test_) and refuse full secret keys. You will give the key only the permissions our setup instructions list. You may also attach a Stripe IP access policy so the key works only from our server's address, which we publish on the connect page.

4.3 Enter keys only on our connect page. You will enter a key only on the connect page of the app at our own web address over HTTPS. Do not send keys to us by email, chat, support message or any other channel. We will never ask for one that way. If a key reaches us another way, we will not use it, we will delete it, and we will tell you to roll or delete it in Stripe.

4.4 Revoking access. You can stop our access at any time by pressing "Disconnect" in the app, by deleting or rolling the key in your Stripe Dashboard (Developers, then API keys), or both. When you disconnect in the app we delete the stored key at once. If you delete the key only in Stripe, we stop as soon as Stripe refuses our next request, which is normally within 15 minutes.

4.5 You remain responsible for your Stripe account and for following Stripe's own terms. We are not responsible for changes Stripe makes to its products, permissions or interfaces.

5. Recovery emails we send for you

5.1 What they are. Recovery emails are short, plain text transactional messages about a specific payment that failed on a subscription your subscriber already agreed to. Each email tells the subscriber the payment did not go through and gives a link to fix it. They are not marketing. You agree not to ask us to add promotional content to them.

5.2 How they are sent. We send up to four emails per failed invoice (about day 0, 2, 5 and 9 after we see the failure), never two within 20 hours, respecting the quiet hours and daily limit you set. We check Stripe before each email and stop as soon as the invoice is paid, voided or otherwise closed. We never email about failures that happened before you turned recovery on. The email shows your brand name as the sender name, is sent from our sending address on our domain, and has your reply address as the reply to address, so subscriber replies go to you, not to us.

5.3 Unsubscribe and suppression. Every email has a link to stop the reminders, and the email headers support one click unsubscribe. When a subscriber uses it, we stop all reminders from your account to that subscriber. If an address hard bounces or the recipient marks an email as spam, we stop sending to that address for every Renewvane customer.

5.4 Your responsibilities. You confirm and agree that:

  1. the subscribers we email are your own customers with an active billing relationship with you;
  2. you have the right under applicable law, your own terms and your own privacy notice to contact them about their billing, and to have a service provider like us do so on your behalf;
  3. your privacy notice tells subscribers that you use service providers to send billing messages, or you will update it before turning on recovery;
  4. you will tell us about any subscriber who has asked you not to be contacted, where the law requires it, by using the suppression tools we provide or by emailing us;
  5. you are responsible for the final email content you approve, including statements about access, cancellation or consequences of non payment, and for your own refund, cancellation and dispute decisions.

5.5 No texts or calls. The service does not send text messages and does not make phone calls.

5.6 Deliverability. We use a reputable email provider and standard authentication, but we do not guarantee that any email is delivered, opened or read.

6. Holdout: some of your subscribers deliberately get no recovery emails

6.1 When recovery is on, we randomly assign each invoice that newly fails either to receive recovery emails (a "Treated Invoice") or to receive no emails from us at all (a "Holdout Invoice"). By default 15% of failed invoices are Holdout Invoices. You may choose a holdout share from 10% to 50%; it cannot be set below 10%.

6.2 Assignment uses a secret random key for your account, so neither you nor we can choose which invoices land in which group. Each invoice's assignment is recorded when we first see it and never changes, even if you later change the holdout share; a new share applies only to invoices that fail afterwards.

6.3 Holdout Invoices still go through your normal Stripe settings, including Stripe's own retries and any Stripe emails you have turned on. We do not send them any email and do not look up or store the subscriber's email address.

6.4 By turning on recovery, you understand and agree that a share of your subscribers whose payments fail will deliberately not receive our recovery emails, that this is how we measure what our emails add, and that you may recover less on those invoices than if we had emailed them.

7. Plan, free trial, price and automatic renewal

7.1 Free leak audit. The connected leak audit is free. It runs when you connect your Stripe account, which you can do once your free trial has started.

7.2 Fit guidance. From the leak audit we estimate, per month, the number of failed invoices and the failed amount (the full amount of invoices whose first payment attempt did not succeed, whether or not Stripe later recovered them), counting US dollar invoices only, and we show you a band. "Good fit": at least $2,500 of failed payments a month and at least 20 failed invoices a month. "Borderline": from $1,500 up to $2,500 a month and at least 20 failed invoices a month; payback is uncertain. "Not yet": anything else; we tell you plainly that the plan likely will not pay for itself and suggest that you cancel before your trial ends, at no charge. The band is our estimate, not a promise, and it does not limit who may start the trial.

7.3 Free trial. Anyone who creates an account and accepts these automatic renewal terms can start a free trial of 30 days. To start it, you give a card to our payment processor, Stripe. We charge nothing during the trial. Each Customer can use one free trial.

7.4 Automatic renewal. Please read this carefully.

  • Your plan continues until you cancel. Unless you cancel before your free trial ends, your plan automatically converts to a paid plan when the trial ends and renews automatically every month until you cancel.
  • Price: $49 per month in US dollars, plus any applicable sales or similar tax (Section 7.9). There is no setup fee, no success fee and no percentage of recovered revenue. There is no minimum purchase obligation and no minimum term.
  • When you are charged: the first $49 charge happens on the day your 30 day trial ends, which the app and our confirmation email show as a date. After that you are charged every month on the same day of the month, in advance for that month.
  • How you pay: Stripe charges the card or other payment method you gave at sign up, or a replacement you add later. You authorize us, through Stripe, to charge that payment method each month until you cancel.
  • How to cancel: at any time, online, in the app: open your account and press "Cancel plan" (or "Manage payment method", then the cancel option on the Stripe billing page). You can also email hello@renewvane.com with the word "cancel" from your account email address, and we will process it within one business day. You never need to call us.
  • When cancellation takes effect: if you cancel during the free trial, the trial ends at its scheduled end date and you are not charged. If you cancel after the trial, the cancellation takes effect at the end of the month you already paid for; you keep the service until then and are not charged again.
  • Refunds: we do not refund partial months, except where the law requires it or where we made a billing error.

7.5 Confirmation and reminders. After you start a trial or plan, we email you a confirmation that you can keep, with these automatic renewal terms, the price, the trial end and first charge date, the cancellation policy and how to cancel. When you cancel, we email you a confirmation saying when the plan ends. We also email you a reminder 7 days before your trial ends (with the date, the charge, our fit guidance and how to cancel), send Stripe's trial ending reminder, a receipt for every charge, and at least once a year a reminder of the plan, its price and how to cancel.

7.6 Price and term changes. We will email you notice of any change to the price at least 7 days and no more than 30 days before the new price takes effect, together with how to cancel. We will email you notice of any other material change to the automatic renewal terms before it takes effect. If you do not agree, you can cancel before the change takes effect.

7.7 Recovery runs only while the plan is in good standing. Recovery emails run while your trial or paid plan is in good standing.

7.8 Failed plan payments. If a payment for the plan fails, we tell you by email and keep recovery emails running for 7 days so you can update your payment method. After that we pause recovery emails until the plan is paid again. A paused or ended plan does not cause us to delete your data; deletion happens only as described in Section 12 and the Privacy Policy. Stripe may retry a failed plan payment under our Stripe settings.

7.9 Taxes. Prices do not include taxes. California has announced that sales and use tax will apply to software as a service sold in California from January 1, 2027. Where we are required to collect sales, use or similar tax, we will add it to your invoice and show it separately. You are responsible for any other taxes that apply to your purchase, other than taxes on our income.

7.10 Billing disputes. If you believe a plan charge is wrong, tell us within 60 days of the charge at hello@renewvane.com. We will review it in good faith and correct any error.

8. Monthly Proof Report

8.1 Each month we give you a report (a "Proof Report") that compares the emailed and holdout groups so you can judge what our emails added. The Proof Report is information only. It is never a bill, and the subscription fee does not depend on it. The definitions below explain the figures in it.

8.2 Evidence Gate. A Treated Invoice passes the Evidence Gate only if all of the following are true: (a) the subscriber clicked a Tracked Link we sent for that invoice, recorded only when a browser actually presses through our page, so automated link scanners do not count; (b) the invoice was paid within 7 days after that click; and (c) the payment was made through the Stripe hosted page we opened for the subscriber, either with a payment method that was added no earlier than the click and no later than 2 hours after it and that had not failed on that invoice, or by the subscriber completing 3D Secure authentication on the hosted invoice page we sent them to. A payment collected by Stripe's automatic retry on a payment method that already failed on the invoice never passes the Evidence Gate. Nor does a payment with no click, a click after the payment, a payment method that existed before the click or was added more than 2 hours after it, or an invoice paid outside Stripe. "Evidence Gated Recoveries" for a month means the amounts paid, up to each invoice's amount due, on that month's Matured Treated Invoices that passed the Evidence Gate and were paid within 21 days after the failure.

8.3 Matured invoices. An invoice is "Matured" once 21 days have passed since we first recorded its failure. Only Matured invoices are compared. A payment made more than 21 days after the failure counts as not recovered for both groups.

8.4 Comparison Window. For each month we compare the two groups over a trailing window of at least 60 days ending at the end of that month, using Matured invoices only. If the window contains fewer than 20 Matured Holdout Invoices, it is extended in 30 day steps, up to 180 days.

8.5 Recovery rates and Measured Lift. For each group, the "Recovery Rate" is the dollars paid within 21 days of failure (each invoice counted up to its amount due) divided by the failed dollars, across that group's Matured invoices in the Comparison Window. "Measured Lift" is the Treated Recovery Rate minus the Holdout Recovery Rate.

8.6 Safety margin and Cautious Lift. Because the two rates differ somewhat by chance even when emails have no effect, we subtract a statistical safety margin before reporting: 1.645 times the standard error of the Measured Lift, which is a one sided 95% lower confidence bound. "Cautious Lift" is the Measured Lift minus that safety margin, and is treated as zero if it is below zero. We will tell you in advance if we change the safety margin.

8.7 Cautious Added Recovery. The lower of (a) Evidence Gated Recoveries for the month and (b) the failed dollars of that month's Matured Treated Invoices multiplied by the Cautious Lift. The Proof Report shows this next to the plan price.

8.8 Not enough holdout data. If even a 180 day Comparison Window has fewer than 20 Matured Holdout Invoices, the lift cannot be measured, and the Proof Report says so instead of showing a Cautious Added Recovery. At 20 to 50 failed invoices a month and the default 15% holdout, the first measured result usually takes several months, and the subscription fee applies during that time.

8.9 US dollars only. Only invoices in US dollars are counted in the Proof Report. Invoices in other currencies are listed and not included.

8.10 Provisional and final reports. A month's Proof Report is provisional until 21 days after the end of the month, when every invoice that failed in that month has Matured. After that it is final and does not change. Each report shows counts and totals only. You can check every recovered payment in your own Stripe account.

9. No guarantee of recovery

We do not promise that any amount will be recovered, that the plan will pay for itself, or that any Proof Report will show a measured result. Results depend on your subscribers, their banks, your product, Stripe and many other factors outside our control. Examples, estimates, the Leak Check, the leak audit and Proof Reports are information only.

10. Acceptable use

You agree not to:

  • use the service to contact anyone who is not your subscriber, or for anything other than reminders about failed or due payments;
  • use the service for unlawful, misleading, harassing or abusive messages;
  • use the service for a business that violates Stripe's terms or applicable law;
  • try to access other customers' data, probe or bypass our security, overload the service, or reverse engineer it except where the law allows;
  • resell or share the service without our written permission.

We may suspend the service, or pause recovery emails, if we reasonably believe you are breaking these rules or putting subscribers, us or others at risk. Where practical, we will tell you first and give you a chance to fix the problem.

11. Data and privacy

11.1 Our Privacy Policy at renewvane.com/privacy explains how we handle personal information.

11.2 For personal information about your subscribers that we receive from your Stripe account, you are the business that decides why and how it is used, and we act as your service provider and processor. Our Data Processing Addendum at renewvane.com/dpa applies to that information and forms part of these Terms. If the Data Processing Addendum conflicts with these Terms about subscriber personal information, the Data Processing Addendum controls.

11.3 You can download your data from the app at any time. Stripe keys, webhook secrets and subscriber email addresses are never included in that download.

11.4 We may use aggregated, de identified statistics about how the service performs (for example, average recovery rates across all customers) to run and improve the service and describe it publicly, as long as they do not identify you, your subscribers or any individual.

12. Disconnecting, ending the service and data deletion

12.1 You can stop at any time by disconnecting in the app. Disconnecting stops all recovery emails, deletes your stored Stripe key at once and deletes subscriber email addresses we still hold.

12.2 Disconnecting does not cancel your plan. Cancel your plan with "Cancel plan" in the app as described in Section 7.4. If you delete your account in Settings ("Delete my account"), we cancel your plan at the same time.

12.3 Data deletion. Within 30 days after you disconnect, we delete the invoice level data we received from your Stripe account. You can ask for immediate deletion by choosing that option when you disconnect. We keep only the limited records described in the Privacy Policy, such as Proof Report totals and our own billing records, for accounting, tax and legal reasons.

12.4 We can end the service for you with at least 30 days notice by email for any reason, or right away if you seriously breach these Terms or if continuing would break the law or Stripe's rules. If we end the service without cause, we will refund any amount you prepaid for the period after the end date.

12.5 Sections 7.10, 9, 11, 12.3, 13, 14, 15, 16 and 18 survive termination.

13. Confidentiality

Each party will keep the other's non public business information confidential, use it only for this agreement, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law (with notice where the law allows).

14. Intellectual property

We own the service, the website, our email templates and the Proof Report format. You own your data and your brand. You give us a limited permission to use your brand name and data only to provide the service to you. If you send us feedback, we may use it without obligation to you.

15. Disclaimer

The website, the Leak Check and the service are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non infringement. We do not warrant that the service will be uninterrupted or error free, or that any email will be delivered or read. We are not responsible for outages or changes at Stripe, email providers or other third parties.

16. Limitation of liability

16.1 To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue (including payments not recovered), lost data or loss of goodwill, even if told such damages were possible.

16.2 To the fullest extent the law allows, our total liability for all claims relating to the service or these Terms is limited to the greater of (a) the fees you paid us in the 12 months before the event that gave rise to the claim and (b) $100.

16.3 These limits do not apply to liability that cannot be limited by law, including liability for fraud or for willful injury, or for gross negligence where California law does not allow it to be limited.

17. Indemnity

17.1 You will defend and indemnify us against third party claims arising from (a) email content you approve, (b) your relationship with your subscribers, including billing disputes and any claim that you lacked the right to have them contacted, or (c) your breach of these Terms or of law.

17.2 We will defend and indemnify you against third party claims that the service itself, as we provide it, infringes their United States intellectual property rights.

17.3 The party seeking protection must give prompt notice, reasonable cooperation and control of the defense; no settlement that admits fault for the other party may be made without its consent.

18. Governing law and disputes

18.1 These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law rules.

18.2 Before filing any claim, each party will try in good faith to resolve the dispute by email for at least 30 days.

18.3 Any dispute that is not resolved will be brought only in the state or federal courts located in San Diego County, California, and both parties consent to the jurisdiction of those courts. Either party may bring a qualifying claim in small claims court.

19. Changes to these Terms

We may update these Terms. We will post the new version with a new effective date. If a change is material, we will email you at least 30 days before it takes effect, except that a change to the plan price follows Section 7.6 and a change required by law may take effect sooner. If you do not agree, you can cancel before the change takes effect. Continuing to use the service after the effective date means you accept the change.

20. General

  • Entire agreement. These Terms, the Privacy Policy and the Data Processing Addendum are the whole agreement between us about the service.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them to a business entity we form or to a buyer of the business, with notice to you; the new party will be bound by them.
  • Independent parties. Nothing here creates a partnership, employment or agency relationship, except the limited authority to send emails on your behalf described in Section 5.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than your obligation to pay amounts due.
  • Severability. If any part is found unenforceable, it is changed to the minimum extent needed and the rest stays in effect.
  • No waiver. Not enforcing a right is not a waiver of it.
  • Notices. We send notices to the email on your account. You send notices to hello@renewvane.com, with a copy by mail to the address below for legal notices.
